TERMS OF SERVICE FOR INEVITABLE TASTEMAKER PLATFORM
Inevitable Labs (“Inevitable”, “we” or “us”) provides the Inevitable Tastemaker Platform (“Platform”) so that distributors, studios and other production and/or distribution entities (and/or their agents and contractors) (collectively, “Studio Parties”) can connect with influencers to help the Studios’ content reach the Global Disability Audience. By accessing the Platform as an influencer (“you” or “Influencer”) agree to be bound by these Special Terms for Influencers (“Influencer Terms”). If you do not agree to be bound by the Influencer Terms, please exit the Platform.
1. Studio Content. When you access the Platform, we may, in our discretion, make available to you certain content from Studios, including but not limited to films, trailers, business, materials, strategy materials and plans, and other content or intellectual property, (collectively, “Studio Content”). By accessing Studio Content, you agree to the following (unless you otherwise have written consent from us or the Studio):
You will keep all Studio Content strictly confidential, which includes only viewing it yourself and not with anyone else.
You will comply with the terms of any embargo communicated by us or a Studio with respect to Studio Content.
You will comply with any other terms or restrictions communicated by us or the Studio with respect to the Studio Content.
You will not copy or misappropriate any Studio Content, attempt to pass off any Studio Content as your own work or to create any work that is substantially similar to any Studio Content.
You will not do anything to compromise any Studio’s rights in their Studio Content.
2. Influencer Content. You may provide certain audio and/or visual content or other intellectual property to the Platform, including without limitation text, images, videos, biographical information and/or other material (collectively, “Influencer Content”). As between you and us, you retain all rights in and to your Influencer Content. By making them available on the Platform, you give us the worldwide, perpetual, irrevocable, sublicensable, transferable right and license to reproduce, distribute, publicly perform and display and otherwise use the Influencer Content to promote Inevitable and our services, including in our marketing materials, presentation materials and archival materials. If, in our discretion, we determine that your Influencer Content violates these Influencer Terms or any Inevitable Policies (defined below), we reserve the right to remove them from the Platform and/or to suspend or terminate your access to the Platform.
3. Studio Engagements. If a Studio wishes to engage you to help promote any Studio project, we may, in our discretion, facilitate any agreement you enter into with a Studio or even be a party to these agreements. If we are not party to your agreement with a Studio, we will not have any liability or responsibility to you under that agreement. We make no representations as to whether any Studio choose to engage you.
4. Representations and Warranties. You represent and warrant that (a) your Influencer Content is your original work and does not violate the rights of any third party, including any intellectual property, privacy and/or publicity rights and further that it is not defamatory, obscene, threatening, abusive or hateful; (b) your Influencer Content will not contain or transmit any virus or other harmful or malicious code; (c) you have the right and authority to enter into this agreement and to grant the rights and perform the obligations described herein; and (d) you will comply with all applicable laws, rules and regulations in connection with your performance under this agreement.
5. Termination. We reserve the right to terminate your access to the Platform and to our influencer program at any time for any reason, with or without notice to you.
6. Additional Inevitable Terms. These Influencer Terms are in addition to our Terms of Service, located at https://www.inevitable.foundation/terms, and our Privacy Policy, located at https://www.inevitable.foundation/privacy (collectively, “Inevitable Policies”). In the event of a conflict between the Inevitable Policies and these Influencer Terms, the Influencer Terms shall prevail.
7. Changes to the Influencer Terms. We reserve the right to change the Influencer Terms at any time. If so, the effective date of the updated version will be posted on this page. By accessing the Platform, you consent to be bound by any such updated version.
8. Miscellaneous. These Influencer Terms and the Inevitable Policies represent the entire understanding between you and Inevitable regarding the Platform and it may not be modified by you without our written consent.
